Composition and Qualifications of Our Board of Directors

In accordance with the "Corporate Governance Best Practice Principles," we promote diversity in our board of directors. The selection criteria are based on the expertise and professional skills of individuals with backgrounds in law, accounting, industry, finance, marketing, technology, as well as their decision-making abilities, accounting and financial analysis skills, management skills, crisis management abilities, industry knowledge, international market insights, leadership qualities, and decision-making capabilities. They are nominated by major shareholders and appointed through shareholder voting. Currently, there are nine board members, including three independent directors, selected to ensure diversity and complementarity of industry experience and professional capabilities.

 

Performance Evaluation of Our Board Members

Board members undergo an annual performance evaluation, and the results serve as a basis for the selection or nomination of directors and the determination of their individual compensation.

 

Ongoing Education and Future Composition Planning

  • Professional Development for Current Members: To enhance the expertise and continuous improvement of board members, we offer courses covering corporate governance, corporate social responsibility, internal control systems, financial reporting responsibilities, and more. Each member is required to complete six to eighteen hours of professional development courses annually to ensure a high level of industry knowledge and up-to-date skills.
  • Composition Planning: The future composition of our board will follow the existing structure, including a focus on their professional backgrounds and skills. Additionally, members must possess expertise in strategic planning and knowledge of our business operations.

Our current chairman, Hsieh In-Sheng, served as the chairman of ITTS from 2007 to 2010. He has a deep insight into industry trends and company operations and has practical experience. He will take over as the chairman again this time, hoping to carry on the past, innovate and improve, and continue to strengthen the professional depth of ITTS in the field of information services.

Core Competencies and Evaluation Criteria

Successors for key management positions in our company are required to possess competencies in management, decision-making, analysis, crisis management, and the ability to effectively execute tasks within their respective areas of expertise. We select talent for these roles based on their performance, project execution, and personal characteristics.

 

Training and Development

To accelerate the development of potential successors and reduce the transition time into key roles, our company provides training programs for important management positions. These programs cover areas such as strategic planning, international business operations, global marketing, innovation management, and new economy trends. We also offer personal development and mentorship programs to assist in the training process. The training includes:

  • On-the-Job Training: Involves the execution of various project tasks to develop skills in management knowledge, management skills, and leadership, along with identifying skill gaps in the process.
  • Professional and Functional Development: Conducted by the Human Resources department, these programs focus on enhancing the abilities of middle and senior management personnel. The programs cover management skills (such as strategic thinking, problem-solving, analysis, planning, execution, communication, coaching, coordination, teamwork, and leadership), professional capabilities (including operational market assessment, accounting, financial analysis, management, crisis management, industry knowledge, and international market insights), and personal development.
  • Annual Course Offerings: Cover topics such as strategic thinking, problem identification and solving, financial statement analysis, team consensus, and OODA loop decision-making.
  • The current General Manager, Mr. Wang Zhi-Qun, joined the Tung-Jie team in March 2024, responsible for the development of intelligent services and business expansion. He assumed the position of General Manager in June 2024.
